Terms of Use
The membership, usage and participation of the SoCal Film Market succeeds because of the
quality of its members and some basic rules that everyone adheres to. We reserve
the right to deny service to any member or prospective member at any time if
they do not play by the rules.
1.
No Misrepresentation. Please be as honest and forthright
about yourself and your offer as possible. Members are encouraged to report any
communications that they consider to be misleading or any members that appear to
be misrepresenting themselves.
If the SoCal Film Market finds a company to be misrepresenting
itself, it may be subject to barring from the SoCal Film Market at the
discretion of the SoCal Film Market.
2.
No Leeches. A leech is someone who doesn’t respect the
interests of the community and attempts to abuse the system for their own
benefit. They take constantly and offer nothing in return. The Network succeeds
because of our community’s ability to give. Don’t be a leech.
Legal
This is the Terms of Service agreement for the SoCal Film Market.
All SoCal Film Market users must read and accept every aspect of this and any
other agreement or policy provided by SoCal Film Market. If you do not agree to
these terms, you are prohibited from using the SoCal Film Market or any
affiliated services. Moreover, SoCal Film Market reserves the right to modify
this agreement at any time. Your use of the SoCal Film Market and affiliated
services indicates your unconditional acceptance of all changes made to this
agreement at any point.
Trademark Infringement
All names and logos associated with the SoCal Film Market are trademarks of the
SoCal Film Market. You may not use any SoCal Film Market trademark in any manner
without SoCal Film Market's written consent. Furthermore, users may not infringe
on any patents, trademarks, or other copyrights of SoCal Film Market users or
any other parties whatsoever.
The SoCal Film Market
The SoCal Film Market allows professionals to connect with filmmakers,
screenwriters, producers, entertainment industry professionals, small
businesses, entrepreneurs, investors, customers, vendors, employees and
advisors.
Conditions for Membership, Usage and Accreditation
Membership is anyone who applies for and receives buyer accreditation and/or
as a registered exhibitor. All applications for accreditation
and exhibition are approved or rejected solely at the discretion of the
SoCal Film Market.
For obvious legal reasons, the SoCal Film Market or any affiliated services may
not be used by persons under the age of 18. This same restriction applies to any
users suspended or removed from the SoCal Film Market or any affiliated
services. Users are prohibited from transferring or profiting from the transfer
of their SoCal Film Market account to another party. If you do not meet these
requirements, you are not eligible to use the SoCal Film Market. If
you apply for Buyer Accreditation and/or Buyer Registration and your
application is rejected, you will not be eligible for Buyer Registration.
Terms of Information Use
SoCal Film Market is authorized to use any information that is provided by SoCal
Film Market users or affiliates. This information is used at no charge from the
users and may be used for any purpose associated with SoCal Film Market, the
SoCal Film Market, or any affiliates. All information that a user posts on the
SoCal Film Market is completely the USER's responsibility. SoCal Film Market is not responsible for any misrepresentation of facts or other errors in
this content. SoCal Film Market strives to ensure the integrity of the
information on the SoCal Film Market, but cannot guarantee the truthfulness of
the information that each user provides through the SoCal Film Market.
SoCal Film Market
reserves the right to release any user information or other information if
required to do so by law.
SoCal Film Market Contact System
SoCal Film Market uses a messaging system for users to communicate with one
another and for SoCal Film Market to contact these users. Additionally, SoCal
Film Market may communicate with its users via email or other forms of contact
in the normal course of business. All users must agree not to abuse the SoCal
Film Market contact system in manner. Failure to comply with this requirement
may result in account suspension or termination.
Confidential Information Exchange
All information submitted to the SoCal Film Market, including
messages, will become property of SoCal Film Market. Any investor or
entrepreneur on our site requesting to contact any other investor or
entrepreneur on our site, does so at their own risk and is solely responsible
for conducting any legal, accounting, or due diligence review. Please do not
send any confidential information through the SoCal Film Market. You're best
off using the system to make contact with other Members and then continue any
confidential information exchange through your own methods.
Use of the SoCal Film Market
Your use of the SoCal Film Market Service must follow the guidelines set forth
in this agreement. The SoCal Film Market may refuse or revoke service or other
offerings without prior notice to any user or potential user for any reason.
Users must obey all applicable local, national, and international laws
associated with the use of the SoCal Film Market and any affiliated services.
Users take complete responsibility for all activities that occur
under their SoCal Film Market account with or without their prior knowledge or
consent. In the event that you discover any unauthorized use of your account,
you must immediately notify the SoCal Film Market so that the proper actions can
be taken.
Types of Business Not Supported
Based on past experience, there are a few businesses that we just
can't seem to support without throwing the rest of our community up in arms.
These include Multi Level Marketers, Home Based Business Services, and just
about anything that has to do with pornography or adult entertainment. We
reserve the right to cancel or suspend accounts that appear to be related to
these types of business.
User Agreement
Users agree with SoCal Film Market NOT to use the SoCal Film Market or any
services provided by SoCal Film Market or its affiliates to:
1.
Commit ANY unlawful acts
2.
Post or "spam" other users on the system with unsolicited
advertising or other communications
3.
Harm the SoCal Film Market, or any related systems and
infrastructure in any way through any means
4.
Collect or resell data containing other users' profile or
personal information or any other information on the SoCal Film Market
5.
Harass other users or anyone else in any way
6.
Misrepresent themselves in any way through profile postings,
messages sent to SoCal Film Market or other users, or any other method
7.
Commit any actions considered to be unethical or to abuse the
SoCal Film Market system, other associated services, or users
8.
Attempt to deliberately solicit members to leave the SoCal Film
Market in favor of another related or competitive service
Disciplinary Guidelines
SoCal Film Market has set in place a listing of disciplinary guidelines for
regarding the use of the SoCal Film Market or any affiliated services. SoCal
Film Market may, but is not obligated to, enforce penalties for breaching these
guidelines. Foremost, you agree that the SoCal Film Market may immediately
suspend or terminate your SoCal Film Market account and all access to the SoCal
Film Market and other services without prior notice. The following will lead to
the suspension or termination by the SoCal Film Market of a user's account 1)
violation of this Terms of Service or the User Agreement within this document 2)
Violation of any applicable laws 3) A user's request to have their own profile
removed 4) Account inactivity.
Account termination will include, but is NOT limited to the
previous items and events listed. SoCal Film Market account suspension or
termination includes the complete stoppage of all use of the SoCal Film Market
and any affiliated services. All account suspensions or terminations will be
made at SoCal Film Market's discretion and without necessarily consulting any
other parties. SoCal Film Market is not liable for any damages associated with
the suspension or termination of a user's account.
The SoCal Film Market will not issue any refunds whatsoever to
Members who have violated these Terms of Service. Users further agree to the
terms set forth in the Refund Policy.
Refund Policy:
If we made a mistake somewhere, we'll work with you to quickly resolve the
matter. The SoCal Film Market will consider refund requests only prior to a
listing going live.
Once your listing is live and posted to the website, market guide or
other product, we are unable to consider refund requests.
If you are outside of your approval period, we will not offer any refunds
for payments that have already been debited.
You will be sent an email confirmation announcing when your listing is
scheduled to be “live".
Due to the access granted to SFM content as
a Member, we are unable to consider refund requests for membership
accounts once you have registered as a user.
Under no circumstances shall the SoCal Film Market be held responsible for
overdraft charges incurred from your financial institution as a result of any
purchases or renewals through or in connection with our websites. It is the sole
responsibility of you as a customer to ensure "overdraft fees," "overage fees,"
or "overlimit" or any other fees from your financial institution do not occur by
taking the necessary action to avoid them. Furthermore, the SoCal Film Market is
not liable for any fees incurred due to billing errors.
Termination
SFM may terminate your subscription and access, or suspend access to
all or part of the Site, without notice, for any conduct that SFM,
in its sole discretion, believes is in violation of this Agreement,
any applicable law, or is harmful to the interests of another user,
service provider, or SFM. SFM may also elect not to renew your
subscription and access by providing a notice of nonrenewal prior to
the end of your current subscription term.
Subscription Fees and Payments
Your subscription will continue and renew automatically, unless
terminated by SFM or until you notify
SFM by e-mail or as designated on the
Site of your decision to terminate your subscription. If there are
any annual, monthly, or similar periodic fees for your subscription
(including any applicable taxes), these fees will be billed
automatically to the credit card designated during the registration
process for the Site or subsequently designated by you to
SFM, at the start of the annual,
monthly or similar period, and at the start of each renewal period,
unless you terminate your subscription before the relevant period
begins. You agree to pay or have paid all fees and charges incurred
in connection with your SFM ID and
password for the Site (including any applicable taxes) at the rates
in effect when the charges were incurred. All fees and charges
(including any applicable taxes) are nonrefundable.
SFM may change the fees and charges
then in effect, or add new fees or charges, by giving you notice in
advance. All fees and charges (including any applicable taxes)
incurred in connection with your SFM ID
and password will be billed to the credit card designated during the
registration process for the Site or subsequently designated by you
to SFM. If you want to designate a
different credit card or there is a change in credit card validity
or expiration date, or if you believe someone has accessed the Site
using your SFM ID and password without
your authorization, you must e-mail the SFM
Help. You also are responsible for any fees or charges
incurred to access the Site through an Internet access provider or
other third party service. YOU, AND NOT SFM,
ARE RESPONSIBLE FOR PAYING ANY AMOUNTS BILLED TO YOUR CREDIT CARD BY
A THIRD PARTY WHICH WERE NOT AUTHORIZED BY YOU.
Extent of Liability
By accepting this Terms of Service agreement, you agree that SoCal Film Market
and any persons or entities associated or affiliated with SoCal Film Market are
not responsible for any damages to any party as a result of using the services
provided or transacting business with SoCal Film Market or affiliates. SoCal
Film Market reserves the right, but is not obligated, to screen the content that
is posted on the SoCal Film Market for any abusive, false, unreliable or other
unacceptable material. However, we cannot guarantee that users will not find
such material on this site. We rely a great deal on the SoCal Film Market user
base to help protect the standards and integrity of the Network. Please report
any such offenses to SoCal Film Market so that proper action can be taken. We
reserve the right, but are not obligated, to terminate any accounts that are in
violation of this Terms of Service Agreement or any other policies that our
company maintains. We hold no responsibility for ANY damages caused for any
reason to users of our services or to other parties. Furthermore, SoCal Film
Market is not responsible for malfunctioning features or services that may
hinder your use of the SoCal Film Market or its offerings or cause damages to
any party. We will do our best to provide a fully functioning service with
complete integrity at all times, but this cannot in any way be guaranteed. SoCal
Film Market will not be held responsible for the actions of other users on the
SoCal Film Market or outside parties that disrupt the normal functioning of the network.
Furthermore, the SoCal Film Market is not responsible
for any work similar to anything posted on this site.
By posting on this site you are
releasing the SoCal Film Market from any and all forms of copyright
infringement, understanding that while the SoCal Film Market monitors the use of
the site, it can not guarantee the legal and/or ethical legitimacy of the users.
The SoCal Film Market does not offer or guarantee sales,
representation or distribution of projects posted on this site.
Membership on SoCal Film Market does not constitute an offer to sell
or the solicitation by SoCal Film Market of an offer to buy any investment
interest in the business ventures of members. The actual sale or purchase of an
investment interest shall be a private and independent transaction between the
members without any participation by SoCal Film Market. In no event will SoCal
Film Market be liable for any loss of earnings or any other commercial damages,
losses or expenses arising out of or in correlation with an independent
transaction, agreement, or interaction between site members.
